Mr Deemer’s practice is focused on the development and financing of international energy projects, and he has broad experience on mergers and acquisitions in the energy industry. He has worked extensively on international oil and gas projects, including the acquisition and disposal of oil and gas assets (and companies owning those assets), cross-border oil and gas pipeline projects, and LNG and electric power projects in Europe, Asia, the FSU, and the Middle East. He has also represented developers, as well as multilateral lenders, on international energy project financings.
Mr Deemer has worked on projects in China since the early 1990s, was based in China from 1997 to 1999, and from 2002 to 2013, in London for 18 years prior to that. He maintains offices in Beijing and London. He has represented major international clients, including multilateral lenders in the development and financing of energy projects in China, Russia, and other countries. His practice areas include cross-border investment and financing, corporate and M&A, and capital market.
In the area of inbound investment, Mr. Liu has participated in the formation of China International Capital Corporation (CICC), the first Sino-foreign joint venture investment bank in China. Mr. Liu has advised more than thirty well-known multinationals such as GE, Samsung, Siemens, and Shell on their FDI, M&A, and related activities in China. On private equity and venture capital investments, representing both renowned international and domestic funds, such as CICC, Golden Brick, Matrix, CMC, WI Harper, and portfolio companies, such as iKang, Ganji and Mia. Mr. Liu has participated or lead more than 50 PE or VC-backed investments.
In recent years, Mr. Liu has represented some leading Chinese stated-owned enterprises, such as Sinopec, SinoChem, Sino Development and Investment Corporation (SDIC), and Poly Group, as well as certain Chinese private companies in their offshore investment and acquisitions covering a broad range of industries, including agriculture, energy, infrastructure, minerals, and manufacturing. These outbound investments extend to broad and diversified geographic areas, including Asia, Africa, Australia, Europe, and North America. In the area of financing and capital markets, Mr. Liu has represented both international and domestic banks (such as Citibank, Tokyo-Mitsubishi, China Construction Bank, and CITIC Bank) as lenders and has represented both multinationals and domestic companies (such as CITIC Group, SinoChem, and Hershey) as borrowers in the drafting and negotiation of cross-border syndicated loans and guarantees. Mr. Liu has participated in nearly twenty international arbitrations relating to international trade and investment disputes at the China International Economic and Trade Arbitration Committee (CIETAC) and numerous international litigations.
